Terms of Service

These Terms of Service (“Terms”) govern your use of OpticalHR, a cloud-based Human Resource Management System (“HRMS”) owned and operated by L4E Technologies, a brand of LINKS4ENGG India Pvt. Ltd, having its registered office at PR Complex, Pullukad Road, Kulathoor Post, Trivandrum, Kerala – 695583, India (“we”, “us”, or “our”). By accessing or using OpticalHR’s web platform, self-service portal, or mobile application (collectively referred to as the “Service”), you (“Customer”, “Organization”, or “User”) agree to be bound by these Terms. If you do not agree with these Terms, you may not use the Service.

1. Service Overview

OpticalHR is a subscription-based HRMS platform that enables organizations to manage employee and HR functions. The Service is made available on a Software-as-a-Service (SaaS) model and is provided strictly on an “as-is” and “as-available” basis. L4E Technologies provides access to the Service and related support as per the subscription plan purchased by the Customer.

2. Account Registration and Access

  • Each subscribing organization must create an account to access the Service.
  • The Customer is responsible for maintaining the confidentiality of login credentials and all activities under its account.
  • L4E Technologies is not responsible for unauthorized access caused by compromised or misused credentials.
  • The Customer must ensure that only authorized personnel access the admin and employee portals.

3. Subscription, Fees, and Renewal

  • The Service is available through prepaid subscription plans as communicated by L4E Technologies.
  • Subscription fees are non-refundable unless explicitly stated in writing.
  • Failure to renew a subscription may result in suspension or permanent deletion of associated data after the applicable retention period.
  • L4E Technologies reserves the right to modify pricing, features, or service plans with prior reasonable notice.

4. Customer Data Ownership

  • All employee and HR data entered by the Customer or its users remains the sole property and responsibility of the Customer.
  • L4E Technologies acts only as a data processor on behalf of the Customer.
  • L4E Technologies does not own, use, access, or share employee data except as necessary to operate and maintain the Service.
  • The Customer is fully responsible for ensuring that any data uploaded or processed through OpticalHR complies with applicable laws and internal company policies.

5. Data Hosting and Security

  • The Service is hosted on secure cloud infrastructure provided by Amazon Web Services (AWS), with data primarily stored in India and backed up in select other regions.
  • While L4E Technologies follows industry-standard security practices, it does not guarantee uninterrupted service or absolute data security.
  • L4E Technologies shall not be liable for any data loss, corruption, or downtime arising from:
    • Failures or outages in third-party infrastructure (including AWS)
    • Internet or network disruptions
    • Unauthorized access due to weak or compromised passwords
    • Natural disasters, accidents, or events beyond our control

The Customer is responsible for maintaining independent data backups and implementing its own disaster recovery measures.

6. Service Availability and Maintenance

  • L4E Technologies strives to ensure high availability but does not guarantee 100% uptime.
  • Routine maintenance, updates, or emergency outages may cause temporary interruptions.
  • L4E Technologies shall not be responsible for any loss of business, data, or profits resulting from such downtime.

7. Support and Communication

Support is provided via email at sales@opticalhr.com as per the Customer’s subscription plan. L4E Technologies may send service announcements, maintenance notifications, or security alerts via email or within the platform.

8. Prohibited Use

The Customer agrees not to:

  • Use the Service for unlawful or unauthorized purposes.
  • Attempt to gain unauthorized access to the Service or its related systems.
  • Upload any content that infringes upon third-party rights or violates applicable laws.
  • Reverse engineer, copy, or resell any part of the Service.

Violation of this clause may result in immediate suspension or termination of access.

9. Intellectual Property

  • All intellectual property rights in OpticalHR, including the platform design, code, features, and documentation, are owned by L4E Technologies.
  • Subscription grants only a limited, non-exclusive, non-transferable right to use the Service during the active subscription period.
  • No ownership or title is transferred to the Customer or any end user.

10. Confidentiality

Both parties agree to keep confidential any technical, operational, or business information exchanged under this relationship. However, this obligation shall not apply to information that becomes public or is required to be disclosed by law.

11. Limitation of Liability

  • L4E Technologies and its affiliates shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, revenue, data, or goodwill.
  • In no event shall L4E Technologies’ total liability exceed the total amount paid by the Customer during the preceding 12 months of the subscription.
  • L4E Technologies shall not be responsible for:
    • Any loss of data due to third-party services (e.g., AWS), force majeure, or customer mismanagement.
    • The acts, omissions, or data policies of the Customer or its users.

The Customer agrees to indemnify and hold harmless L4E Technologies from any claims arising from misuse of the Service or data entered into it.

12. Termination

  • Either party may terminate the subscription by providing written notice before the renewal date.
  • L4E Technologies may suspend or terminate access if the Customer violates these Terms or fails to pay fees.
  • Upon termination, all customer data will be retained for six (6) months and then permanently deleted.
  • L4E Technologies bears no responsibility for any loss resulting from termination or data deletion.

13. Force Majeure

L4E Technologies shall not be liable for delays, interruptions, or failures in performance caused by events beyond its reasonable control, including but not limited to natural disasters, acts of war, government actions, internet failures, or third-party service interruptions.

14. Dispute Resolution and Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Trivandrum, Kerala.

15. Amendments

L4E Technologies reserves the right to modify these Terms at any time. Updates will be posted on opticalhr.com, and continued use of the Service after such updates constitutes acceptance of the revised Terms.
